DESCRIPTION: This is a notice submitted by a corporation changing its registered agent. The registered agent is an individual authorized to conduct business for the corporation and upon whom any process, notice, or demand required or permitted by law to be served on the corporation may be served. The agent is required to file their resignation with the department. This information is entered into the data system.
This series include the name of the corporation, the address of the registered office, the registered agent.
This record is filed in the Corporation File 7184, after filming.

Due to the potential legal significance of this record, a microfilm copy of the record should be produced for security purposes. Requirements are outlined in UCA 16-10-11, 16-10-13, and 16-10-22. The criminal responsibility of corporation officers is set forth in UCA 76-10-701 and the civil responsibility in UCA 78-12-27. The retention is based on the latter citation, for the statute of limitations only begins to run after the cause of action is discovered. Once the cause of action has been discovered, then there is a three year limitation.
